Purpose
These terms set out the conditions under which we provide our consulting services in cybersecurity, regulatory compliance and artificial intelligence for SMEs and SaaS companies.
1. Definitions
"Services": The consulting, audit, assessment and ongoing support services in cybersecurity, compliance and artificial intelligence offered by Verasens.
"Client": The natural or legal person who contracts our services.
"Report": The document we deliver at the end of each service with findings and recommendations.
2. Services offered
Cybersecurity
- Radar: Free 90-second external scan
- Assessment (Diagnóstico): Full audit in 7 days
- Ongoing support (Acompañamiento): Monthly cybersecurity partner
Artificial Intelligence
- AI Assessment: Identifying processes that can be automated
- AI Implementation: Building automations
- AI Maintenance: Ongoing support for AI systems
3. Contracting process
1. Initial contact
The client requests information through our forms or directly by email/phone.
2. Commercial proposal
We prepare a tailored proposal with detailed scope, timelines and quote.
3. Acceptance and contract
Once the proposal is accepted, we formalise the specific service contract.
4. Delivery
We deliver the service under the agreed terms and hand over the final report.
4. Client's obligations
For the services to be delivered properly, the client agrees to:
- Provide the information and access required for the contracted service
- Appoint a responsible technical point of contact
- Provide access to the required systems, facilities or documentation
- Report any significant change to their infrastructure during the project
- Implement the recommended security measures under their own responsibility
- Keep the methodologies used confidential
5. Our obligations
We commit to:
- Deliver the services with the utmost professional diligence
- Meet the timelines agreed in the commercial proposal
- Keep the client's information strictly confidential
- Deliver clear, accurate reports in Spanish
- Provide post-delivery support as specified for each service
- Immediately report any critical security finding
6. Confidentiality
Mutual confidentiality commitment:
On our side: All client information is treated as strictly confidential. Only the staff who need it will have access, under confidentiality agreements.
On the client's side: The methodologies, tools and know-how applied are the intellectual property of Verasens and must not be disclosed to third parties.
This commitment applies during the delivery of the service and for 5 years after it ends.
7. Limitation of liability
Our liability is limited to:
- The proper delivery of the services according to the agreed specifications
- The delivery of accurate reports based on the information available at the time of the audit
- Compliance with professional industry standards
We are not liable for:
- Damages arising from not implementing our recommendations
- Vulnerabilities that arise after the report is delivered
- Indirect or consequential financial losses
- Cyberattacks that occur after the service
- Information or access not provided by the client
8. Pricing and invoicing
Quotes
Quotes are set out in each commercial proposal and are valid for 30 days. They include all applicable taxes unless stated otherwise.
Invoicing
Invoicing follows the milestones agreed for each project. Payment is due within 30 days of the invoice date.
Additional services
Any additional work outside the agreed scope will be quoted and invoiced separately.
9. Cancellation and termination
The client may cancel the service:
- With 7 days' notice if work has not started
- At any time, paying for the work completed to date
We may terminate the contract:
- If the client does not provide the required information or access
- For non-payment of overdue invoices
- For serious breach of these terms
10. Applicable law and jurisdiction
These terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the jurisdiction of the courts of Tarragona, waiving any other forum.
11. Changes
We may change these terms with 30 days' notice. Changes will not affect services already contracted, which will be governed by the terms in force at the time of contracting.
